Zewz-style Transaction
Zewz-style Transaction means:
a transaction whereby A corporation buys some stock of B corporation, which then splits off unwanted subsidiaries to B's historic shareholders, leaving A with 50% or more of B's stock. Under Former IRC (check if this IRC provision is current here)5355(d)(1), A corporation is taxed on any gain on the distribution of the B stock to the shareholders.
